Employer Terms and Conditions
THIS AGREEMENT, effective immediately upon acceptance, is made between the Vector Institute (“Vector”) and the Employer (“the Employer”) (each a “Party” and, together, the “Parties”).
WHEREAS the Employer wishes to use the employee recruitment services offered by Vector via the Vector Digital Talent Hub (talenthub.vectorinstitute.ai), on the terms set forth herein;
NOW THEREFORE, in consideration of the mutual covenants and agreements herein contained, the Employer and Vector hereto agree as follows:
Acceptance of Terms
The use of services offered by Vector through the Vector Digital Talent Hub (talenthub.vectorinstitute.ai) (“the Hub”) is conditional on the acceptance of these Terms and Conditions (“Terms”) by the Employer user of the Hub. As you are an Employer and will be using the recruitment functionality contained in the Hub, please read these Terms carefully.
By accessing the Hub and using the Hub’s services, such as its Resume Database Service or Employer Pages Service (“Hub Services”), the Employer agrees to these Terms and acknowledges that its continued use of the Hub is conditional on its compliance with these Terms.
The Hub is powered by Jobboard.io, which is owned by ZipRecruiter. By using the Hub, the Employer agrees to comply with Vector’s privacy policies, the Hub’s Privacy Statement, Jobboard.io’s Privacy Policy, and ZipRecruiter’s Terms of Use.
If the Employer is a Vector Industry Sponsor, nothing in these Terms shall alter or amend any term of the Vector Enterprise Sponsor Agreement that the Employer has in place with Vector.
Registration and Account Administration
In order to utilize any of the Hub Services, the Employer will be required to login to its corporate account using a Username and Password provided by Vector.
The Employer represents that only employees and agents of the Employer having the Employer’s full and express authority to act on the Employer’s behalf and to use the Employer’s logo will be permitted to access or purchase services or products of Vector on behalf of the Employer.
The Employer is solely responsible for the contents and accuracy of all information posted by the Employer to the Hub and for promptly updating or removing such information as necessary to comply with these Terms or any applicable law, including by removing expired job postings from the Hub.
Vector shall not be responsible for any false, misleading, inaccurate or incomplete information posted by the Employer to the Hub, which may include outdated postings, inaccurate postings, or the omission of new postings.
Vector reserves the right to remove or delete any content posted to the Hub by the Employer in contravention of these Terms or any applicable law.
The Employer is responsible for maintaining the confidentiality of its Username and Password and is solely responsible for all activities, whether authorized or unauthorized by the Employer, resulting from the use of its Username and Password and conducted through its account.
Use Strictly Limited to Recruitment
The Employer shall not, directly or indirectly, whether on its own or in conjunction with any other person or entity:
- Engage in any derivative use of the Hub or its contents, including collecting information relating to any product or service listings, descriptions, or prices for the purpose of such derivative uses;
- Post any false, misleading, inaccurate or incomplete job vacancies, including non-existent job vacancies or positions with incomplete or misleading descriptions;
- Post any volunteer or unpaid positions (internship positions are permitted provided that they are paid);
- Post or send out any marketing content or commercial advertising using any personal information of Hub job candidates;
- Post any content that would infringe any third party rights, including copyright, trademark, or confidential information rights, such as material that has merely been copied from a third party job posting without that third party's prior written consent;
- Engage in conduct that is sexually explicit, obscene, defamatory, threatening, offensive, harassing, abusive, hateful, or otherwise contrary to any applicable law;
- Sell, share or otherwise disclose to any third party the Username, Password or any other registration or identification information provided by the Hub or required by the Employer to access Hub Services, except to those employees of the Employer who are personally and directly authorized by the Employer for those purposes in accordance with these Terms;
- Violate the security of any computer network or security encryption code;
- Use any device or process to monitor, copy, summarize, or otherwise automatically extract information from the Hub or from the software or materials used to provide the services.
- Learning more about Hub job candidates and Employers, in order to build the user base of the Hub, monitor and improve the Hub’s functionality and services, understand and track business trends (such as the types of jobs being posted, the types of qualifications being sought in candidates, and overall labour participation), and enhance Vector’s programming and services.
- Providing an Employer with aggregated information that may be of interest to it, such as information about the user base of the Hub, about how Hub job candidates use the Hub to apply for jobs with the Employer or the Employer’s peers in a particular sector, or about trends reflected in the use of the Hub. Vector may charge a fee in connection with providing this information.
- Providing similar aggregated information to other entities, such as industry or trade groups, educational institutions, AI ecosystem parties, government funding partners, and other public bodies, and other interested parties, for a fee.
- To prevent the unauthorized or unlawful processing of any information in the Hub or other Confidential Information;
- To protect information in the Hub and other Confidential Information against accidental loss, destruction or damage;
- To ensure the reliability of the Employer personnel having access to information in the Hub and other Confidential Information;
- To take all other reasonable efforts to protect information in the Hub and other Confidential Information and keep it confidential, in accordance with applicable law; and,
- To not directly or indirectly disclose, allow access to, transmit or transfer information in the Hub or other Confidential Information to a third party without Vector’s prior written consent.
The Employer agrees to abide by these restrictions and agrees that any infraction of these restrictions or any of these Terms shall entitle Vector, at its sole discretion, to delete any offending content and/or to suspend or terminate the Employer’s access to Hub Services without further notice to the Employer.
Resume Database Service
The Employer may be authorized to access the Resume Database Service of the Hub solely for the purpose of viewing or downloading resumes to identify Hub job candidates for legitimate employment opportunities. All Hub job candidates who are visible in the Resume Database have agreed that they may be contacted by authorized Employers for this purpose in accordance with the Privacy Statement.
The Employer shall not use automated computer programs or software to download resumes or to extract personal information about Hub job candidates.
The Employer shall not resell, sub-license, or otherwise grant access to the Resume Database or any Hub job candidate’s resume or personal information to any third party in any form.
The Employer shall not use the Resume Database or its contents to market or sell products or services to Hub job candidates.
The Employer agrees to abide by these restrictions and agrees that any infraction of these restrictions or any of these Terms shall entitle Vector, at its sole discretion, to suspend or terminate the Employer’s access to the Resume Database Service or the Employer’s account.
Vector makes no representations or warranties regarding any content provided or generated by third parties, including resumes. The Employer agrees that the Hub acts as a passive conduit for receipt of resumes and that it is solely the Employer’s obligation to screen Hub job candidates’ resumes, verify their identities, and verify the accuracy of the information contained in their resumes.
Employer Pages Service
The Employer may be authorized to maintain a dedicated webpage showcasing branding materials and relevant information to job seekers (“Employer Page”), subject to any applicable additional fees determined by Vector in its sole discretion.
Vector may provide an Employer with a template Employer Page. The Employer shall be solely responsible for the content and accuracy of all information posted on its Employer Page, whether or not generated by or for the Employer, including in respect of any photograph(s) or videos uploaded, and third-party websites reachable from content put on an Employer Page.
Hiring Outcomes
Vector has a mandate to strengthen Ontario’s position as a global destination in AI. One avenue to achieve this mandate is data collection relating to employment outcomes for opportunities posted on the Hub.
As a condition of using the Hub, the Employer shall inform Vector, upon request, of relevant interviewing and hiring metrics for the purpose of determining Vector’s return and investment and overall impact.
An administrator of the Hub will periodically contact the Employer to request information regarding Hub job candidates who have been interviewed and hired for jobs posted on the Hub.
De-Identified Data Collected by Vector
Vector collects data relating to the content and performance of Hub job postings. Vector (or an agent acting on its behalf) may collect information about a particular Employer, de-identify it, and include it in this data. “De-identify” means that Vector will remove all potential identifiers, such that the information can no longer be associated with an individual Employer. Once the information is de-identified, Vector may analyze it in de-identified, aggregated form, and may use those analyses for such purposes as:
By using the Hub, the Employer agrees that Vector (or an agent acting on its behalf) may de-identify the Employer’s information and then use it for purposes such as those described above.
Privacy, Confidentiality, and Information Security
The Employer acknowledges that in the course of utilizing the services of the Hub, the Employer may become privy to information that is confidential (the “Confidential Information”). Without limitation, the Confidential Information may include personal information about the users of the Hub, Vector’s researchers and students, or students in Vector-recognized Masters programs, and/or business information about Vector or the Hub, such as information about job applications, interviews, and hires conducted through the Hub, whether or not that information is designated to be “confidential,” “personal,” or “not for disclosure”.
The Employer agrees to comply with all relevant federal, provincial, state, municipal or other privacy laws including those governing the collection, storage, disclosure, transfer or use of information in the Hub and any other Confidential Information.
The Employer agrees to comply with all privacy, personal information, data protection and similar policies adopted or used by the Hub from time to time, including Vector’s privacy policy and the Hub’s privacy statement.
The Employer agrees to implement appropriate physical, technical, organizational, and administrative measures:
The Employer agrees that (1) it will view and use information in the Hub and other Confidential Information only for the purpose of recruitment and to contact Hub users directly for employment purposes; (2) it will not, at any time, view information in the Hub or other Confidential Information or use it directly or indirectly for any other purpose or for the purposes of a third party, without the prior written authorization of Vector; (3) it will keep information in the Hub and other Confidential Information strictly confidential. The Employer further agrees to comply with all applicable information privacy laws.
The Employer will immediately notify Vector of any unauthorized use of the Hub; any unauthorized use or disclosure of the information contained in the Hub; any unauthorized use of the Employer’s Username, Password, or other registration or identification information provided by the Hub; any unauthorized use or disclosure of Confidential Information; and any other breach of security of which the Employer is aware.
Payment
Certain Hub Services may be provided for a fee, and the Employer shall remit timely payment of such fees in accordance with the pricing and payment terms for the applicable Hub Services, as set out herein.
Once purchased, Hub Services are not eligible for a refund, and Hub Services provided subject to an expiration date will expire without a refund of payment if not utilized prior to such expiration date.
In the event that Vector suspends, limits, conditions, or terminates the Employer’s access to any Hub Services and/or the Employer’s account due to the Employer’s material breach of this Agreement or any other Agreement that the Employer has in place with Vector, the Employer shall not receive a refund for any Hub Services that remain unused as a result.
The Employer shall ensure that all information the Employer provides in connection with a transaction for the purchase of Hub Services is accurate, complete, and current. The Employer agrees to pay all fees incurred by the Employer for the purchase of Hub Services at the rates and prices in effect when such fees are incurred. The Employer will also pay any taxes applicable to such transactions.
In the event that the Employer arranges for payment for any Hub Services to be made through a credit card or other acceptable payment method, the Employer authorizes Vector to charge such credit card or other payment method for the amount of all applicable fees, together with any applicable taxes. If at any time the Employer’s credit card or other acceptable payment method will not accept the charge for fees due, Vector may suspend or terminate the Employer’s access to the applicable Hub Services.
The Hub uses Stripe as its payment provider for all transactions, and the Employer agrees to Stripe’s Privacy Policy with respect to data relating to transactions on the Hub.
Vector reserves the right to revise rates, prices and terms of payment associated with the Hub and Hub Services from time to time.
Accessible Formats and Communications Supports
The Employer shall, at all times, provide or arrange a different accessible format of its job opportunities or branding materials for persons with disabilities in accordance with applicable laws.
Indemnity
The Employer agrees to indemnify and hold harmless Vector, along with all parents, subsidiaries, affiliates, associated companies and entities, and together with all respective current and former directors, officers, shareholders, employees, servants, and agents and their successors and assigns (“the Indemnitee”), from and against any and all claims, actions, suits, losses, proceedings, liabilities, damages (actual, consequential, or incidental), settlements, penalties, fines, costs, or expenses (including without limitation reasonable legal fees and other litigation expenses) of every kind and nature, whether known or unknown, that the Employer may suffer or incur by reason of or in connection with the use of the Hub by the Employer, including its parents, subsidiaries, affiliates, associated companies and entities, and together with all respective current and former directors, officers, shareholders, employees, servants, and agents and their successors and assigns (“the Indemnitor”).
Without limiting the foregoing, the Employer further agrees to indemnify and hold harmless the Indemnitee from and against any and all claims, actions, suits, losses, proceedings, liabilities, damages (actual, consequential, or incidental), settlements, penalties, fines, costs, or expenses (including without limitation reasonable legal fees and other litigation expenses) of every kind and nature, whether known or unknown, incurred by the Indemnitor and arising out of or in connection with any material breach by the Employer of these Terms, gross negligence or wilful misconduct of the Employer, or infringement or violation of the proprietary or intellectual property rights of any third party by the Employer.
Termination
Either Party may terminate these Terms immediately at any time upon providing written notice to the other Party, subject to the Survival section of these Terms.
Survival
The Privacy, Confidentiality, and Information Security, Payment, and Indemnity sections of these Terms, and all other provisions necessary to their interpretation or enforcement, will survive the expiration or termination of the Terms and will remain in full force and effect and be binding upon the Employer as applicable.

Change of these Terms
These Terms are subject to amendment by Vector, at Vector’s sole discretion from time to time. Any amendment to these Terms will be posted online at this web page.
